We are looking for a full-time Commercial & Privacy Counsel to join our growing Legal team.
In this role you will be responsible for two primary areas of legal support: (1) global privacy compliance program development and management and (2) structuring and negotiating complex agreements with our most strategic global customers.
On the privacy side, our ideal candidate is a strong individual who can demonstrate valuable experience in maintaining and improving the company’s global privacy framework, embedding privacy by design and default principles into new and existing products/processes, and incident response capabilities. On the commercial side, our ideal candidate has experience in negotiating and drafting a broad range of enterprise sales, partner and vendor contracts, with particular focus on software licensing (on prem + cloud). The candidate must have a proactive mindset, high integrity, good judgment, strong business acumen, superior written and verbal communication skills, and the ability to operate in a fast paced environment.
If you have sound and practical business judgment and are able to provide business-oriented, practical legal advice at all levels of an organization, then this is the right challenge for you.
What you’ll do:
Privacy:
- Take a practical, creative and proactive problem-solving approach to privacy program development while advising business leaders on global privacy risks. This includes assisting in creating and improving our privacy workflows and processes to efficiently mature and scale the existing privacy program.
- Distill complex privacy concepts into executive level insights and explanations, and serve as a key internal point-of- contact and subject matter expert on all matters relating to privacy law, including providing practical, timely, strategic, and high-quality legal advice on data privacy matters.
- Assist and advise on necessary privacy protections for new products and the importance of embedding privacy by design and default principles into new and existing products and processes.
- Collaborate with cross-functional business teams, such as finance, product team, support team, procurement and the security team to advise on privacy matters, respond to customer privacy questionnaires and conduct vendor privacy assessments.
Commercial:
- Review, advise, and negotiate a variety of agreements, including complex outbound commercial license (SaaS and On-Prem), data processing (GDPR, CCPA), business associate (HIPAA), information security, professional services, channel partner, non-disclosure, and other commercial and technology related agreements.
- Take a practical, creative and proactive problem-solving approach to efficiently close deals while advising business leaders on acceptable risk.
- Collaborate with cross-functional business teams such as sales, deal desk, finance, support, and security to efficiently resolve commercial matters and collaborate on programs/other projects as needed.
- Assist in creating and improving our form agreements, playbooks, workflows and processes to efficiently scale the legal team.
What will you need to have?
- JD from a recognized university, and admission to a State Bar
- IAPP membership and certification(s)
- 5 years of relevant experience working specifically on a mix of commercial negotiations and privacy matters
- Experience with privacy areas such as reviewing DPAs, data mapping, conducting DPIAs and Subprocessor evaluations, DSAR processing, incident response, etc.
- Strong analytical, communication, and client interaction skills
- Ability to work independently while contributing successfully to cross-functional teams
- Self-starter mentality and confidence speaking about complex and technical topics
- Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines
- Common sense, great judgment, and a good sense of humor
Extra great if you have:
- Experience with open source and source-available software licensing models
- Prior in-house experience is preferred, even better if it was a start up
- Business or technology background
